\u8fd9\u4e00\u95ee\u9898\u6ca1\u6709\u4e89\u8bae\uff0c\u63d0\u4f9b\u4fdd\u51fd\u7684\u4e00\u65b9\u6709\u4e49\u52a1\u76f4\u63a5\u5411\u8d27\u7269\u63d0\u4f9b\u62c5\u4fdd\uff0c\u5404\u65b9\u5bf9\u6b64\u90fd\u8868\u793a\u63a5\u53d7\u3002<\/p>\n

\u7ed3\u8bba<\/p>\n

1.  \u4fdd\u51fd\u5bb9\u6613\u5f15\u8d77\u6cd5\u5f8b\u8bc9\u8bbc\uff0c\u5176\u4f5c\u4e3a\u53ef\u80fd\u88ab\u7528\u4e8e\u5e2e\u52a9\u6b3a\u8bc8\u7684\u6587\u4ef6\uff0c\u5728\u6cd5\u5f8b\u4e0a\u662f\u5426\u6709\u6267\u884c\u529b\u5b58\u5728\u4e0d\u786e\u5b9a\u6027\u3002<\/p>\n

2.  \u8239\u4e1c\u5fc5\u987b\u9996\u5148\u6839\u636e\u4fdd\u51fd\uff0c\u8981\u6c42\u79df\u5bb6\u5411\u8d27\u4e3b\u63d0\u4f9b\u62c5\u4fdd\uff0c\u5982\u679c\u79df\u5bb6\u4e0d\u63d0\u4f9b\uff0c\u8239\u4e1c\u522b\u65e0\u9009\u62e9\u53ea\u80fd\u81ea\u5df1\u63d0\u4f9b\u62c5\u4fdd\uff0c\u4e3a\u4e86\u4e0d\u5f71\u54cd\u4fdd\u51fd\u4e0b\u7684\u6743\u5229\uff0c\u8239\u4e1c\u5fc5\u987b\u8981\u6c42\u79df\u5bb6\u63d0\u4f9b\u66ff\u4ee3\u62c5\u4fdd\u3002<\/p>\n

3.  \u4fdd\u8d54\u534f\u4f1a\u65e0\u5355\u653e\u8d27\u4fdd\u51fd\u6807\u51c6\u683c\u5f0f\u4e2d\u7684\u63aa\u8f9e\u5bf9\u8239\u4e1c\u4e0d\u5229\uff0c\u5e94\u8fdb\u884c\u4fee\u6539\uff0c\u56e0\u4e3a\u76ee\u524d\u7684\u63aa\u8f9e\u5f3a\u52a0\u7ed9\u4e86\u8239\u4e1c\u989d\u5916\u548c\u4e0d\u5408\u7406\u7684\u4e49\u52a1\uff0c\u5373\u786e\u4fdd\u4ea4\u8d27\u7ed9\u7279\u5b9a\u65b9\uff0c\u5982\u679c\u8d27\u7269\u6ca1\u6709\u4ea4\u7ed9\u7279\u5b9a\u65b9\uff0c\u79df\u5bb6\u5c31\u53ef\u4ee5\u4e0d\u627f\u62c5\u4fdd\u51fd\u4e0b\u7684\u4e49\u52a1\uff0c\u8fd9\u5c06\u4f7f\u8239\u4e1c\u5904\u4e8e\u5b8c\u5168\u6ca1\u6709\u4fdd\u969c\u7684\u5883\u5730\u3002<\/p>\n

4.  \u5982\u679c\u4f7f\u7528\u4fdd\u8d54\u534f\u4f1a\u4fdd\u51fd\u6807\u51c6\u683c\u5f0f\u63aa\u8f9e\uff0c\u4e14\u6ca1\u6709\u505a\u4e0a\u8ff0\u63aa\u8f9e\u7684\u4fee\u6539\uff0c\u8239\u4e1c\u4e3a\u4e86\u4fdd\u62a4\u81ea\u5df1\u7684\u5229\u76ca\uff0c\u5fc5\u987b\u5411\u8981\u6c42\u4ea4\u4ed8\u65b9\u8be2\u95ee\u4ed6\u4eec\u662f\u5426\u662f\u4fdd\u51fd\u4e2d\u6307\u5b9a\u7684\u7279\u5b9a\u65b9\u3002\u8239\u4e1c\u5e94\u5728\u5378\u8d27\u524d\u8981\u6c42\u79df\u5bb6\u786e\u5b9a\u9884\u671f\u6536\u8d27\u4eba\uff0c\u8d27\u7269\u4e5f\u53ef\u4ee5\u4ea4\u4ed8\u7ed9\u79df\u5bb6\u6307\u5b9a\u65b9\uff0c\u4ee5\u907f\u514d\u79df\u5bb6\u4f9d\u636e\u4fdd\u51fd\u4e2d\u89c4\u5b9a\u7684\u8239\u4e1c\u4e49\u52a1\u6765\u9003\u907f\u8d23\u4efb\u3002<\/p>\n

Owners must be aware of risks in the LOI format suggested by the International Group of P&I Clubs for delivery of cargo without production of bills of lading<\/strong><\/span><\/p>\n

There is commonly a rider clause agreed in charterparties which require the owners to discharge the cargo without production of the original bill of lading subject to provision of an LOI in owner’s P&I Club wording. In the case of Farenco v Daebo v Norden v Deiulmar (2009) there was included in each charterparty down the chain such a clause.<\/p>\n

Farenco provided security directly to the cargo owners Stemcor in view Daebo had failed to provide the requisite security despite demands, and called upon Daebo to provide substitute security to Stemcor. Farenco obtained an interim mandatory relief requiring the sub charterer to provide substitute security, and an expedited trial on three issues of construction was ordered.<\/p>\n

1.  Whether clause 3 (of the standard P&I Club LOI wording) obliges the party giving the LOI to provide security directly to the cargo owner.<\/strong>
This issue was not in dispute and the obligation to provide security directly to the cargo owner was accepted by all parties.<\/p>\n

2.  Whether the obligation in clause 3 to provide security to the cargo owner was extinguished as the release of the vessel had already been secured by the owner.<\/strong>
This issue was decided in favour of owner and the obligation was not extinguished even if the vessel was released by reason of security provided by the owner. This analysis would have been different in circumstances where the shipowner without making a demand to charterers to provide security provided the security himself, as no obligation of the charterers to provide security would have accrued before the vessel was released.<\/p>\n

3.  Whether the undertakings in the LOI was conditional upon delivery of cargo to a specific party.<\/strong>
This issue was decided in favour of the charterers as the wording of the LOI provided the owner to deliver the cargo to a specific party, despite the rider clause in the charterparty only provided the owners to ‘discharge and release’ the cargo subject to receipt of an LOI which did not oblige the owner to deliver to a specific party.<\/p>\n

Conclusions :<\/p>\n

1.Commencing legal proceedings under an LOI is possible as there has been previous uncertainty whether an LOI which is a document ancillary to fraud could be legally enforceable.<\/p>\n

2.Owners must first demand the charterers to provide security to cargo owner in accordance with the LOI, failing which owners have no alternative but to provide security themselves, in order not to prejudice their rights under the LOI to seek charterers to substitute the owner’s security.<\/p>\n

3.The standard LOI wording of the P&I Club for delivery of cargo without production of an original bill of lading is not favourably drafted to owner’s benefit and should be amended as the current wording places on the owner an additional and unreasonable obligation to ensure delivery of the cargo to a specific party, failing which the obligations of the charterers under the LOI is not triggered and will leave the owner totally unsecured.<\/p>\n

In the standard LOI wording of the P&I Club :<\/p>\n

Delete “…we, (insert name of party requesting delivery) hereby request you to deliver the said cargo to “X(name of specific party) or to such party as you believe to be or represent X or to be acting on behalf of X” …<\/p>\n

Replace by “…we, (insert name of party requesting delivery) hereby request you to discharge and release said cargo to any party as we instruct…”<\/p>\n

4.If the standard LOI wording of the P&I club is used and the above amendments cannot be agreed, the owners must protect themselves and make enquiries about the party requesting delivery whether they are the specific party named in the LOI. Owners should ask the charterers to indentify the intended receivers before discharge and that cargo can be delivered to the party as instructed by charterers, so that the charterers would be estopped from relying on the LOI which places the obligation on the owners.<\/p>\n

 \u5982\u679c\u8239\u4e1c\u5df2\u5bf9\u653e\u8239\u63d0\u4f9b\u62c5\u4fdd\uff0c\u6761\u6b3e\u4e09\u4e2d\u89c4\u5b9a\u7684\u5411\u8d27\u4e3b\u63d0\u4f9b\u62c5\u4fdd\u7684\u4e49\u52a1\u662f\u5426\u89e3\u9664\uff1f\u8fd9\u4e2a\u95ee\u9898\u7684\u56de\u7b54\u6709\u5229\u4e8e\u8239\u4e1c\uff0c\u5373\u4f7f\u56e0\u8239\u4e1c\u63d0\u4f9b\u4e86\u653e\u8239\u62c5\u4fdd\u800c\u83b7\u91ca\uff0c\u8be5\u4e49\u52a1\u4ecd\u6ca1\u6709\u89e3\u9664\u3002
