<\/span><\/p>\n

In Zodiac v Fortescue Metals Group Ltd (2010) the owners Zodiac sued the charterers FMG for early termination of a COA for 5 years. Zodiac interpreted charterer’s communications as a repudiation of the COA and treated the COA as terminated. It was held the owners were correct and the issue is the manner of the calculation of the quantum of damages.<\/p>\n

<\/span><\/p>\n

In common law, the owners were entitled to be put in the same position as if the charterers had not breached the contract and the contract had been performed. This means the measure of damages is the difference between the contractual income for the balance of the COA contract and the available market rate income.<\/p>\n

<\/span><\/p>\n

The available market rate income should in principle be a replacement COA for four and a half years (balance of period remaining under COA) on same charter party terms. In The Golden Victory (2007) it was held a replacement fixture to be suitable as a market substitute for the purpose of calculation of damages must correspond to the original fixture and be on same contractual terms and trading limits.<\/p>\n

<\/span><\/p>\n

At the time the charterers terminated the COA, there was no demand and no available market for a four and a half years COA. Accordingly the usual manner of calculating the measure of damages cannot be used and the damages could only be assessed after every spot charter. However It was also held that if the market improved subsequently and a market later becomes available, this should be taken into account.<\/p>\n

<\/span><\/p>\n

Importantly it was also held that the owner’s agreement in renegotiating the charter hire income on their other COAs with other charterers should be taken into account in assessing the true measure of damages of the owners.<\/p>\n

\u666e\u901a\u6cd5\u4e0b\uff0c\u8239\u4e1c\u6709\u6743\u83b7\u5f97\u8d54\u507f\uff0c\u4f7f\u5176\u5904\u4e8e\u79df\u5bb6\u6ca1\u6709\u8fdd\u7ea6\u4e14\u5b9e\u9645\u5c65\u884c\u4e86\u5408\u540c\u65f6\u7684\u72b6\u6001\u3002\u5c31\u662f\u8bf4\uff0c\u635f\u5bb3\u8d54\u507f\u989d\u7b49\u4e8e\u5305\u8fd0\u5408\u540c\u5269\u4f59\u79df\u671f\u7684\u79df\u91d1\u6536\u5165\u4e0e\u53ef\u83b7\u5f97\u7684\u5e02\u573a\u79df\u91d1\u6536\u5165\u4e4b\u95f4\u7684\u5dee\u989d\u3002<\/p>\n

\u672c\u6848\u4e2d\uff0c\u5f53\u79df\u5bb6\u7ec8\u6b62\u5305\u8fd0\u5408\u540c\u65f6\uff0c\u822a\u8fd0\u5e02\u573a\u4e0a\u5df2\u627e\u4e0d\u5230\u53ef\u66ff\u4ee3\u76844.5\u5e74\u671f\u5305\u8fd0\u5408\u540c\u3002\u56e0\u6b64\uff0c\u4e0d\u80fd\u4f7f\u7528\u901a\u5e38\u8ba1\u7b97\u635f\u5bb3\u8d54\u507f\u989d\u7684\u65b9\u6cd5\uff0c\u635f\u5bb3\u8d54\u507f\u53ea\u80fd\u901a\u8fc7\u77ed\u671f\u79df\u7ea6\u8fdb\u884c\u8bc4\u4f30\u3002\u6cd5\u9662\u8ba4\u4e3a\uff0c\u5982\u679c\u4e4b\u540e\u822a\u8fd0\u5e02\u573a\u597d\u8f6c\uff0c\u53ef\u4ee5\u627e\u5230\u53ef\u66ff\u4ee3\u7684\u5305\u8fd0\u5408\u540c\uff0c\u5219\u5e94\u5c06\u5176\u7eb3\u5165\u8003\u8651\u8303\u56f4\u8fdb\u884c\u76f8\u5e94\u7684\u8ba1\u7b97\u3002<\/p>\n
