There is a trend that the charterers intend to transfer the risk and potential losses for loading liquefying cargoes (e.g. Iron Ore Fines, Nickel Ore) onto owners account in C\/P terms. We hereby share an example with our advice of how it may affect the owners’ interests as well as the club’s cover for our owners clients’ reference.<\/p>\n

Example clause provided by charterers:<\/p>\n

” – Iron Ore Fines Clause:<\/p>\n

Charterers to provide Shippers’ certificates of moisture content, flow moisture point (fmp) and transportable moisture limit (tml) to the Master prior to loading.<\/p>\n

In the event that Charterers\/Shippers are unable to provide the moisture content certificate in time then all time lost as a consequence to be for Charterers’ account.<\/p>\n

Owners\/Master to ensure that cargo loaded is in suitable condition for carriage by the vessel. Once cargo has crossed ship’s rail it will be deemed to have been accepted and in a condition fit for shipment by Owners and Master. In the event that the Master orders loading to stop or refuses to sail from the load port due to the moisture content of the cargo, Owners shall be responsible for landing the cargo or making it suitable for carriage at their own risk and expense and the vessel will be off-hire from the point at which the Master orders loading to stop or refuses to sail from the load port until loading resumes or the vessel resumes the voyage respectively. If Owners require a surveyor to support them, Owners’ P and I club to appoint an independent and accredited local surveyor to supervise loading. Owners to keep Charterers well advised about such appointment and to instruct their surveyor to coordinate closely with Charterers’ and Shippers’ local representatives.<\/p>\n

The Master has the right to reject the cargo prior to passing ship’s rail which falls outside the safe transportable moisture content limits. Any cargo so rejected by Master to be jointly tested at a mutually agreed test laboratory and the findings are to be final and binding on both parties. Charterers however have the option to provide alternative cargo for loading.<\/p>\n

Any time lost and expenses caused by such Master’s rejection of cargo and conducting survey\/testing to be for Charterers’ account, if such cargo found to be outside safe IMO limits. However, should the test results declare the cargo to be within safe IMO limits, then the vessel is to be off-hire from the time of rejection and any time lost and all directly related expenses caused thereby, to be for Owners’ account.<\/p>\n

All sampling of cargo to be witnessed by Charterers and\/or Shippers and jointly surveyed as necessary (any sampling by Owners P and I club representative without Charterers’\/Shippers’ knowledge shall be treated as null and void).”<\/p>\n

This clause imposes all risks, expenses and time loss for rejecting cargo and landing cargo after the cargo crossed the ship’s rail to be on owner’s account. It also imposes the time loss and expenses for rejecting cargo prior to passing on owner’s account if the cargo so rejected is tested to be within safe IMO limits. It will greatly affect the owner’s right to check the cargo (by P&I surveyor) independently, e.g. by can test, under the IMSBC Code.<\/p>\n

Subject to the owner’s commercial consideration, we suggest to insert below clause instead of the one that charterers provided so that the owners’ interests can be fully protected.<\/p>\n

Quote<\/p>\n

Solid bulk cargoes are to be presented for carriage, loaded, (and where necessary trimmed) only so far as lawful and harmless, and always in compliance with all applicable international regulations, including IMSBC Code 2009 (as may be amended from time to time). All time taken in complying with such regulations, or as a result of non-compliance shall be for Charterer’s sole time and expense (whether as hire or as laytime\/demurrage as applicable). Charterers shall be responsible for any and all additional costs, expenses and liabilities whatsoever incurred in such compliance or as a result of any non compliance. The Charterers are to provide certificate(s) of test from a laboratory which must be approved in advance by Owners at Owner’s absolute discretion, and such certificate(s) of test must show the TML (transportable moisture limit) and FMP (flow moisture point) and moisture content. Such certificate(s) are to be presented to Owners and Master prior to, and as a condition, of the commencement of loading. The Master shall also have the right in his absolute discretion to refuse to accept cargo on board or, after loading, to refuse to sail, where in his reasonable opinion, there is a risk (including but not limited to the risk of liquefaction of the cargo) which could jeopardise the safety of the vessel on the voyage. The Master shall also have the right in his absolute discretion to demand that such cargo be offloaded from the vessel. Such refusal and\/or demand to offload shall not be a breach of charter and Charterers shall be responsible at their sole time and expense (whether as hire or as laytime\/demurrage as applicable) for all steps required to make the cargo safe and\/or to allow the vessel to sail to the satisfaction of the Master. In any event, Charterers are to allow Owners or their representatives to take samples of cargoes prior to, and as a condition, of loading and Owners shall be entitled to test such samples and\/or appoint surveyors and\/or experts to act on their behalf always at Owner’s discretion. Charterers agree to pay and indemnify owners for all costs and consequences incurred as a result of charterer’s orders to load solid bulk cargoes and all the time taken up by the steps outlined in this clause shall be for Charterer’s account and Charterers shall be responsible at their sole time and expense (whether as hire or as laytime\/demurrage as applicable). This clause is always without prejudice to the obligations of Charterers to provide a safe cargo and in relation to loading and nothing done or omitted to be done by the Master or Owners pursuant to this clause shall amount to a waiver of any rights of Owners.<\/p>\n

Owners have the rights to appoint independent surveyor to sampling\/monitor\/supervise the loading.<\/p>\n

Unquote<\/p>\n

In case the above clause it not acceptable to charterers, subject to the club’s advice, we suggest the owners should at least ensure below two key points are stated expressively in the C\/P. Fail to compliant with the minimum requirements stated below may prejudice the club’s cover for the risks thereof incurred.<\/p>\n

    It is also noted that the charterers are trying to intervene owner’s arrangement of independent P&I surveyor and\/or laboratory for sampling and texting cargo’s moister content, TML\/FMP by the way of designating or excluding choices of surveyors and\/or laboratories in C\/P.     \u76ee\u524d\u6709\u8fd9\u6837\u4e00\u79cd\u8d8b\u52bf\uff0c\u5373\u79df\u5bb6\u4f01\u56fe\u901a\u8fc7\u79df\u7ea6\u6761\u6b3e\u5c06\u88c5\u8f7d\u94c1\u77ff\u7c89\u3001\u954d\u77ff\u7b49\u6613\u6db2\u5316\u8d27\u7269\u7684\u98ce\u9669\u548c\u6f5c\u5728\u635f\u5931\u8f6c\u5ac1\u5230\u8239\u4e1c\u8eab\u4e0a\u3002\u5728\u6b64\uff0c\u6211\u4eec\u5217\u4e3e\u5176\u4e00\uff0c\u5e76\u9610\u8ff0\u8fd9\u4e9b\u6761\u6b3e\u5bf9\u8239\u4e1c\u5229\u76ca\u548c\u534f\u4f1a\u4fdd\u9669\u7684\u5f71\u54cd\uff0c\u4f9b\u8239\u4e1c\u5ba2\u6237\u53c2\u8003\u3002<\/p>\n

    \u79df\u5bb6\u5728\u88c5\u8d27\u524d\u5411\u8239\u957f\u63d0\u4ea4\u6258\u8fd0\u4eba\u63d0\u4f9b\u7684\u8d27\u7269\u542b\u6c34\u91cf\u3001\u6d41\u52a8\u6c34\u5206\u70b9\u3001\u9002\u8fd0\u6c34\u5206\u9650\u91cf\u8bc1\u660e\u3002<\/p>\n

    \u5982\u679c\u79df\u5bb6\/\u6258\u8fd0\u4eba\u4e0d\u80fd\u53ca\u65f6\u63d0\u4f9b\u542b\u6c34\u91cf\u8bc1\u660e\uff0c\u90a3\u4e48\u6240\u6709\u65f6\u95f4\u635f\u5931\u7531\u79df\u5bb6\u627f\u62c5\u3002<\/p>\n

    \u8239\u4e1c\/\u8239\u957f\u9700\u786e\u4fdd\u6240\u88c5\u8f7d\u7684\u8d27\u7269\u6761\u4ef6\u9002\u4e8e\u672c\u8239\u8fd0\u8f93\u3002\u4e00\u65e6\u8d27\u7269\u8d8a\u8fc7\u8239\u8237\u5c06\u89c6\u4e3a\u8239\u4e1c\u548c\u8239\u957f\u63a5\u53d7\u8d27\u7269\u4e14\u8d27\u7269\u9002\u4e8e\u8fd0\u8f93\u3002\u5982\u679c\u56e0\u8d27\u7269\u542b\u6c34\u91cf\u95ee\u9898\uff0c\u8239\u957f\u547d\u4ee4\u505c\u6b62\u88c5\u8d27\u6216\u62d2\u7edd\u5f00\u822a\uff0c\u5219\u8239\u4e1c\u627f\u62c5\u5378\u8d27\u6216\u4f7f\u8d27\u7269\u9002\u4e8e\u8fd0\u8f93\u7684\u98ce\u9669\u548c\u8d39\u7528\uff0c\u5e76\u4e14\u8239\u8236\u5c06\u5206\u522b\u4ece\u8239\u957f\u547d\u4ee4\u505c\u6b62\u88c5\u8d27\u6216\u62d2\u7edd\u4ece\u88c5\u8fd0\u6e2f\u5f00\u822a\u5f00\u59cb\uff0c\u5230\u6062\u590d\u88c5\u8d27\u6216\u8239\u8236\u6062\u590d\u822a\u7a0b\u671f\u95f4\u505c\u79df\u3002\u5982\u679c\u8239\u4e1c\u9700\u8981\u68c0\u9a8c\u5458\u652f\u6301\uff0c\u8239\u4e1c\u4fdd\u8d54\u534f\u4f1a\u6307\u5b9a\u4e00\u4f4d\u72ec\u7acb\u7684\u7ecf\u8ba4\u8bc1\u7684\u5f53\u5730\u68c0\u9a8c\u5458\u76d1\u7763\u88c5\u8d27\u3002\u8239\u4e1c\u9700\u53ca\u65f6\u544a\u77e5\u79df\u5bb6\u6307\u5b9a\u68c0\u9a8c\u4e00\u4e8b\uff0c\u5e76\u6307\u793a\u4ed6\u4eec\u7684\u68c0\u9a8c\u5458\u4e0e\u79df\u5bb6\u53ca\u6258\u8fd0\u4eba\u7684\u5f53\u5730\u4ee3\u8868\u5bc6\u5207\u5408\u4f5c\u3002<\/p>\n

    \u8239\u957f\u6709\u6743\u5728\u8d27\u7269\u8d8a\u8fc7\u8239\u8237\u4e4b\u524d\u62d2\u7edd\u8d85\u8fc7\u9002\u8fd0\u6c34\u5206\u9650\u91cf\u7684\u8d27\u7269\u3002\u5982\u679c\u88ab\u8239\u957f\u62d2\u7edd\u7684\u8d27\u7269\uff0c\u7ecf\u53cc\u65b9\u8ba4\u540c\u7684\u68c0\u6d4b\u5b9e\u9a8c\u5ba4\u8054\u5408\u68c0\u9a8c\uff0c\u5219\u68c0\u9a8c\u7ed3\u679c\u662f\u6700\u7ec8\u7684\u4e14\u7ea6\u675f\u53cc\u65b9\u3002\u4f46\u662f\uff0c\u79df\u5bb6\u6709\u6743\u9009\u62e9\u88c5\u8fd0\u66ff\u4ee3\u8d27\u7269\u3002<\/p>\n

    \u5982\u679c\u8d27\u7269\u88ab\u8ba4\u5b9a\u4e3a\u8d85\u51fa\u56fd\u9645\u6d77\u4e8b\u7ec4\u7ec7\u5b89\u5168\u9650\u5236\u8303\u56f4\uff0c\u90a3\u4e48\u56e0\u8239\u957f\u62d2\u7edd\u8d27\u7269\u548c\u8fdb\u884c\u68c0\u9a8c\/\u68c0\u6d4b\u7684\u4efb\u4f55\u65f6\u95f4\u635f\u5931\u4ee5\u53ca\u8d39\u7528\u7531\u79df\u5bb6\u627f\u62c5\u3002\u7136\u800c\uff0c\u5982\u679c\u6d4b\u8bd5\u7ed3\u675f\u8868\u660e\u8d27\u7269\u5728\u56fd\u9645\u6d77\u4e8b\u7ec4\u7ec7\u5b89\u5168\u9650\u5236\u8303\u56f4\u4e4b\u5185\uff0c\u90a3\u4e48\u4ece\u8239\u957f\u62d2\u7edd\u8d27\u7269\u65f6\u8d77\u8239\u8236\u505c\u79df\uff0c\u7531\u6b64\u5f15\u8d77\u7684\u4efb\u4f55\u65f6\u95f4\u635f\u5931\u4ee5\u53ca\u6240\u6709\u76f4\u63a5\u7684\u76f8\u5173\u8d39\u7528\u7531\u8239\u4e1c\u627f\u62c5\u3002<\/p>\n

    \u6240\u6709\u8d27\u7269\u53d6\u6837\u9700\u6709\u79df\u5bb6\u548c\/\u6216\u6258\u8fd0\u4eba\u5728\u573a\uff0c\u4e14\u5fc5\u8981\u65f6\u5171\u540c\u68c0\u9a8c\u3002\uff08\u4efb\u4f55\u7531\u8239\u4e1c\u4e92\u4fdd\u534f\u4f1a\u7684\u4ee3\u8868\u8fdb\u884c\u7684\u62bd\u6837\uff0c\u5982\u65e0\u79df\u5bb6\/\u6258\u8fd0\u4eba\u8ba4\u53ef,\u5219\u5c06\u88ab\u89c6\u4e3a\u65e0\u6548\u3002\uff09”<\/p>\n

    \u8fd9\u4e00\u6761\u6b3e\u628a\u8d27\u7269\u8d8a\u8fc7\u8239\u8237\u4e4b\u540e\uff0c\u8d27\u7269\u906d\u62d2\u548c\u5378\u8d27\u7684\u6240\u6709\u98ce\u9669\u3001\u8d39\u7528\u3001\u65f6\u95f4\u635f\u5931\u5f3a\u52a0\u4e8e\u8239\u4e1c\u3002\u540c\u65f6\uff0c\u5982\u679c\u906d\u5230\u62d2\u7edd\u7684\u8d27\u7269\u88ab\u8bc1\u660e\u7b26\u5408\u56fd\u9645\u6d77\u4e8b\u7ec4\u7ec7\u5b89\u5168\u9650\u5236\u7684\u8981\u6c42\uff0c\u5219\u628a\u5728\u6b64\u4e4b\u524d\u7684\u65f6\u95f4\u635f\u5931\u548c\u8d39\u7528\u5f3a\u52a0\u4e8e\u8239\u4e1c\u3002\u8fd9\u5c06\u4e25\u91cd\u5f71\u54cd\u8239\u4e1c\u901a\u8fc7\u4fdd\u8d54\u534f\u4f1a\u68c0\u9a8c\u5458\u72ec\u7acb\u68c0\u67e5\u8d27\u7269\u7684\u6743\u5229,\u5982\u6839\u636e\u300a\u56fd\u9645\u6d77\u8fd0\u56fa\u4f53\u6563\u88c5\u8d27\u7269\u89c4\u5219\u300b\u8fdb\u884c\u5706\u76d2\u6d4b\u8bd5\u3002<\/p>\n
