喜玛拉雅条款是保护非合同当事方利益的合同性条款。条款尽可能免除运输合同下(例如提单),合同承运人的雇员人员、代理人以及承运人所雇佣的独立合同人对其他方的责任,例如托运人、收货人或提单持有人,或将相同的承运人免责权利扩展到他们身上。
喜玛拉雅条款于本质上是极为复杂的,且不可能拟出一条完全适用于所有情况及所有司法辖区的条款。为此,国际保赔协会和波罗的海国际航运公会共同出台了喜马拉雅标准条款,以期该条款能在包括美国和英国等的大部分主要司法辖区得到承认并生效。2010年,在审查了用于提单和其他合同的喜马拉雅条款后,该条款得到修订。

Himalaya Clause
A Himalaya clause is a contractual provision intended to confer a benefit on an entity that is not a party to that contract. This benefit, in a contract of carriage such as a bill of lading, is to exempt, as far as possible, the servants, agents and independent contractors employed by the contractual carrier from liability to other parties to the contract, such as shipper, consignee or holder of a bill of lading or extend the same protection from liability enjoyed by the carrier.
Himalaya clauses are by nature rather complex and it is impossible to produce a clause that operates successfully on every occasion and in every jurisdiction. The International Group of P&I Clubs (IG) and BIMCO have worked together and produced a clause which aims to be recognized and given effect to in most of the major jurisdictions, including US and UK. A revised Himalaya clause was drafted in 2010 after a review of the clause for use in bills of lading and other contracts.
