期租情况下,如果合约中没有RIGHTSHIP的相关规定,船东是否有义务确保船舶拥有RIGHTSHIP?

(RIGHTSHIP 是由澳大利亚大货主和港口联合进行的一项检验,对于靠泊澳大利亚的船舶,必须通过这个检验,否则货主和码头不会接受。检验主要考察的是船舶的总体船况和打/排压载水的速度,通过了RIGHTSHIP检验同时,船舶会被授予一个星级评定,五星最高,一星最低。)

这是 2008 年 Seagate Shipping Ltd v Glencore Intl AG (2008) 案件中提出来的问题。

合约中包含一个标准条款,即船舶必须保证在整个期租下,所有证书必须满足所挂靠港口的要求。在附加条款中也规定,船舶必须持有国际贸易运输所必须的所有证书。

租家认为,既然合约规定船舶必须持有国际贸易运输所需的所有证书,那么船东就有义务去取得RIGHTSHIP。而且纽约土产标准合同第8条也规定,船东必须按租家的履约要求去做RIGHTSHIP检验。

仲裁支持租家,但高院推翻了仲裁,高院认为船东必须保证所有证书满足国际贸易运输要求的义务仅限于监管的和政府的要求。

高院认为,船东保证所有证书满足国际贸易运输要求的义务仅限于监管的和政府的要求,例如船旗国和挂靠国家的法律和规定,这不包括通过RIGHTSHIP检验。

同时高院认为,虽然船舶没有义务通过RIGHTSHIP检验,但按照纽约土产标准合同第8条的规定,船东有义务按照租家的指示,同意船舶由RIGHTSHIP进行检验。

Rightship approval in CP

Are shipowners obliged under a time charterparty to ensure the vessel is Rightship approved even though there is no clause in the charterparty in this connection ?

This was the subject of litigation in the case of Seagate Shipping Ltd v Glencore Intl AG (2008).

The charterparty contained a standard clause the vessel must be in a thorough effecient state “…with all certificates necessary to comply with current requirements of all ports of call” and there was also a rider clause the vessel had to have all certificates for international trading.

Charterers submitted the owners were obliged to obtain Rightship approval as the charterparty provided the vessel must have all certificates for international trading, and further clause 8 NYPE obliging owners to follow charterer’s employment orders required the owners to permit Rightship inspection.

The High Court reversed the arbitrator’s decision who awarded in favour of the charterers as they found that the owner’s obligation to have in possession all certificates for international trading was limited to regulatory and Governmental requirements.

The High Court said the owners’ obligation to have in possession all certificates for international trading was limited to regulatory and Governmental requirements such as the laws and requirements of Flag state and ports of call and did not include Rightship approval.

The High Court also decided that even though the vessel was not obliged to obtain Rightship approval, the owners were however obliged to comply with the charterer’s instructions to permit the ship to be inspected by Rightship in accordance with clause 8 of NYPE.
